This license governs the use of the Obra Shadcn/ui Kit – Pro Edition.

1. Grant of License

Upon purchase of a valid license, or receipt of the kit as part of a project delivered by Obra Studio BV, Obra Studio BV ("Licensor") grants the receiving entity ("Licensee") a non-exclusive, non-transferable, non-sublicensable, worldwide license to use the kit (including all files, components, documentation, and related materials) solely for internal design and product development purposes within the organization for which the license was purchased or to which the kit was delivered.

This license permits the Licensee to:

  • Use, modify, and adapt the kit for internal projects;
  • Incorporate modified or unmodified elements of the kit into commercial products, applications, websites, and client deliverables created by the Licensee;
  • Share the kit internally with employees and contractors directly engaged by the Licensee, provided such access is limited to purposes consistent with this license.

If the kit is provided as part of a project delivered by Obra Studio BV, the license applies only to the client organization that received the project deliverables and does not extend to third parties or other organizations.

For kits purchased online as part of the non-client program, the license tier purchased must correspond to the Licensee's Figma plan at the time of purchase, as described in Section 4.

2. Restrictions

Except as expressly permitted above, the Licensee may not:

  • Redistribute, resell, sublicense, lease, lend, or otherwise make the kit available to any third party;
  • Publish the kit (in whole or in part) in any marketplace, repository, template library, design system, or open-source project;
  • Transfer the license to another legal entity without prior written consent from Obra Studio BV;
  • Use the kit to create a competing design system, UI kit, template library, or similar commercial product for resale or distribution.

Unauthorized redistribution or commercial resale automatically terminates the license granted herein.

3. Ownership

The kit is licensed, not sold. Obra Studio BV retains all right, title, and interest, including all intellectual property rights, in and to the kit.

The Licensee retains ownership of its final products and deliverables created using the kit, excluding ownership of the underlying kit itself.

4. License Tiers & Eligibility

The kit is offered in multiple license variants, including but not limited to:

  • Individual Professional
  • Team Professional
  • Team Organization
  • Team Enterprise

When the kit is purchased directly, the selected license tier is intended to correspond to the Licensee's Figma subscription plan level at the time of purchase. By purchasing a specific tier, the Licensee confirms in good faith that the selected license reasonably corresponds to its Figma plan in effect at the time of purchase.

Obra Studio BV does not actively monitor or verify the Licensee's Figma subscription status.

If the kit is provided to a client as part of a project delivered by Obra Studio BV, the license tier requirement does not apply, and the client receives the rights described in this license as part of the project deliverables.

If Obra Studio BV determines that a purchased license tier does not reasonably correspond to the Licensee's Figma plan level, Obra Studio BV reserves the right to:

  • Deny access to updates;
  • Deny access to future versions;
  • Deny support services;
  • Require correction of the license tier prior to granting continued support.

No retroactive payment obligation is automatically imposed, and no upgrade is mandatory unless the Licensee wishes to receive updates or support.

5. Scope of Organization

The license is valid only for the specific legal entity that completed the purchase. Affiliates, subsidiaries, parent companies, partner companies, or client organizations are not covered unless explicitly agreed in writing.

6. Term and Termination

This license is granted in perpetuity, subject to compliance with its terms.

Obra Studio BV reserves the right to terminate the license in cases of material breach, including unauthorized redistribution or commercial resale.

7. Independence & Third-Party Disclaimer

This project is an independent product created by Obra Studio BV.

It is not affiliated with, endorsed by, sponsored by, or approved by Figma, Inc., shadcn/ui, or any of their respective affiliates.

All third-party names and trademarks are the property of their respective owners and are used for identification purposes only.

8. No Warranty

The kit is provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Obra Studio BV shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Total liability, if any, shall not exceed the amount paid for the license.
